Jorge del Calvo represents public and private technology companies in mergers and acquisitions, public offerings, private placements and joint ventures, investment banks in equity, debt and other transactions, and venture and private equity funds in their formation and investments. Mr. del Calvo’s clients range in size from unfunded start-ups to Fortune 500 companies. He is particularly experienced with the business and legal issues implicated by rapid growth and disruptive technologies. Twenty of the companies Mr. del Calvo has represented achieved valuations in excess of $1 billion. Ten of these twenty companies were represented by Mr. del Calvo since their incorporation. Included among these companies are JUUL Labs ($12.8 billion private placement), Netcom (the first internet IPO), WebEx (the first SaaS IPO),1 and SunPower (the first solar IPO).
Mr. del Calvo was chosen out of 186,000 California lawyers as one of the “Top 100 Lawyers” in the state from 2014-2017 by the Daily Journal (California’s leading legal newspaper). He has been rated by Martindale-Hubbell as an AV® PreeminentTM attorney, the highest possible peer review rating in legal ability and ethical standards, for the last twenty-five years. He was ranked by Chambers USA among the top lawyers in California for Capital Markets: Debt & Equity from 2014-2021, and Corporate: Venture Capital from 2005-2021 and on the national level for Investment Funds: Venture Capital from 2014-2021. Mr. del Calvo was listed in Best Lawyers (published by BL Rankings LLC) for Corporate Law, Leveraged Buyouts and Private Equity Law, Mergers & Acquisitions Law, Securities/Capital Markets Law and Venture Capital Law from 2006-2021. Mr. del Calvo is one of the most prolific and experienced IPO attorneys in the country. He has consistently ranked as one of the top attorneys in the country in representing issuers in completed technology IPOs and has been involved in over 100 public offerings. Mr. del Calvo has also represented major technology investment banks in equity, debt and other transactions, including work on IPOs representing Barclays, Deutsche Banc, Goldman Sachs, Jefferies, JP Morgan, Morgan Stanley, Needham, Oppenheimer, Stifel and UBS. Additionally, Mr. del Calvo has worked on a number of high profile IPO spin offs including Network Solutions, Sunpower and Synnex Corporation.
During his career, Mr. del Calvo has handled over one hundred merger and acquisition transactions, including the representation of Atheros in its $3.6 billion acquisition by Qualcomm, WebEx in its $3.2 billion acquisition by Cisco, Nicira in its $1.26 billion acquisition by VMware2, and Financial Engines, Inc. in its $560 Million acquisition of The Mutual Fund Store. He also has extensive experience in counseling public companies and their boards with respect to hostile takeovers, proxy contests, special investigations and corporate governance issues.
Mr. del Calvo joined Pillsbury in 1982 and was made a partner in 1990. He served as leader or co-leader of the firm’s National and Silicon Valley Corporate Securities and Technology group from 1994 to 2005, as a member of the firm’s board from 2006 to 2011, and as Chairman of its Finance Committee from 2006 to 2010.
